An Israeli Technology firm in the Industrial Waste Water Treatment domain.

USD 4 Mn. in turnover with significant operations in India in addition to a couple of installations in Israel & South Africa.

Mandate

The Client intended to raise capital to support their strategic initiatives to foray into the European and MENA markets. They sought a Strategic Industrial Investor on board with capabilities to build and expand the business further.

USPI was given the mandate to identify onboard the strategic investor.

Our Engagement

Having understood the Client’s business, Operations, Technology & Capabilities,

  • Relevant players in the Industrial Wastewater treatment domain were mapped and a high-level synergy assessment was done
  • Basis the synergy assessment, the shortlisted players were approached with a focussed pitch of the Client’s business outlining the value proposition for them as an investor
  • Represented the client in conversations with the prospective investors until one of them formally issued a LoI.
  • Supported the client in ensuring a smooth Due Diligence.
  • Facilitated the discussions between the Client and the Investor including aligning on the term sheet and the deal structure.
  • Steered the discussions towards Deal Closure resulting in onboarding the investor with a majority stake in the Client’s India business.

Outcomes Delivered

Onboarded the investor with a majority stake in the India subsidiary thereby ensuring a win-win for the Client as well as the Investor.

Facilitated in creating a Deal Structure with a time-bound buy option to the investor for acquiring  the remaining equity in the India subsidiary in two tranches.

The Client’s business being hinged around a niche technology, the entire process had to be handled with a different approach right from prospecting to developing a justified valuation scenario to finally the deal structure so as to fulfil the client’s requirements while addressing the investors’ anxieties on a new & niche technology.
